By accessing our website, purchasing our services, creating an account, or using an AADPlus solution, you agree to these Terms.
About AADPlus
“AADPlus,” “we,” “us,” or “our” means the AADPlus entity identified in your quotation, proposal, order form, agreement, or invoice. If no entity is identified, the contracting entity is:

AADPlus provides ERP implementation and support, Odoo customization, process automation, custom software development, website and mobile application development, WhatsApp Business Platform integrations, and related IT services.
Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement.
If you use our Services for a company or another organization, you confirm that you have authority to accept these Terms on its behalf.
You must provide accurate, complete, and current business, contact, billing, and account information.
Our Services
AADPlus may provide services including:
- ERP implementation, customization, and support;
- Odoo modules and business-process automation;
- WhatsApp Business Platform and Cloud API integrations;
- Customer-service, booking, order-status, and notification systems;
- Website, mobile application, and custom software development;
- Hosting, maintenance, technical support, and consulting; and
- Other services described in an applicable proposal or agreement.
The exact scope, charges, delivery schedule, and support terms will be specified in the relevant proposal, quotation, statement of work, subscription, or service agreement.
Accounts and Security
You are responsible for:
- Maintaining the confidentiality of your usernames, passwords, access tokens, app secrets, and other credentials;
- Restricting access to authorized employees and representatives;
- All actions performed through your accounts; and
- Notifying AADPlus promptly of suspected unauthorized access or security incidents.
You must not share Meta access tokens, app secrets, passwords, or similar credentials through public channels or with unauthorized persons.
WhatsApp Business Platform Integrations
Where you use an AADPlus WhatsApp integration, you authorize AADPlus and its software to access and process the WhatsApp Business assets necessary to provide the agreed Services. These may include your WhatsApp Business Account, registered phone numbers, message templates, messages, and message-delivery status information.
Unless expressly agreed otherwise:
- You own and control your WhatsApp Business Account, business phone number, and business identity;
- You are responsible for keeping your Meta Business Portfolio and WhatsApp Business Account verified and in good standing;
- You are responsible for granting AADPlus only the permissions required to provide the Services;
- You may revoke granted permissions through your Meta Business settings, although this may stop the integration from working; and
- Meta or WhatsApp charges are separate from AADPlus fees.
AADPlus is an independent technology service provider. AADPlus is not WhatsApp, Meta Platforms, Inc., or an affiliate of Meta. We do not claim endorsement or official Meta Partner status unless that status has been formally granted and expressly stated by us.
Compliance with Meta and WhatsApp Requirements
When using WhatsApp-related Services, you agree to comply with:
- WhatsApp Business Terms of Service;
- WhatsApp Business Messaging Policy;
- WhatsApp Business Solution Terms;
- Applicable Meta Platform terms, developer policies, and technical documentation; and
- All privacy, electronic communications, marketing, consumer-protection, and other applicable laws.
Meta and WhatsApp may update their policies, technical requirements, pricing, and product features. You are responsible for maintaining continuing compliance.
Customer Consent and Opt-In
You may only contact a person through WhatsApp when:
- The person has provided their phone number to you;
- You have obtained a valid and lawful opt-in for the relevant type of WhatsApp communication;
- The person can reasonably expect to receive the message; and
- You have provided all legally required privacy notices.
You are responsible for maintaining evidence of consent and ensuring that each consent complies with applicable law.
You must promptly respect every request to stop, unsubscribe, block, or opt out of communications. You must not send further messages to an opted-out person unless that person subsequently provides valid consent again.
Messaging Rules and Templates
Business-initiated WhatsApp conversations must use message templates approved by WhatsApp where required by WhatsApp’s current rules.
You are responsible for:
- The content and accuracy of your messages;
- Selecting the correct template category;
- Ensuring that templates match their approved purpose;
- Avoiding misleading or unexpected content;
- Complying with applicable customer-service-window requirements; and
- Ensuring that automated conversations provide a reasonable way to contact a human representative.
WhatsApp may approve, reject, pause, reclassify, or disable a message template or account. AADPlus cannot guarantee approval of any template, phone number, display name, business account, or Meta app.
Prohibited Use
You must not use AADPlus Services to:
- Send spam, unsolicited messages, or unauthorized bulk communications;
- Deceive, impersonate, defraud, threaten, harass, or mislead anyone;
- Promote illegal, prohibited, or restricted products or services;
- Violate Meta, WhatsApp, or applicable commerce policies;
- Collect, scrape, sell, or misuse personal information;
- Send malware, malicious links, or harmful code;
- Bypass messaging limits, security controls, or platform restrictions;
- Discriminate unlawfully against any person;
- Infringe intellectual-property or privacy rights;
- Request unnecessary sensitive information through WhatsApp; or
- Engage in any activity that could harm AADPlus, Meta, WhatsApp, our customers, or other users.
Customer Content and Responsibilities
“Customer Content” includes information, messages, templates, images, documents, invoices, customer records, and other material submitted through the Services.
You retain ownership of your Customer Content. You grant AADPlus a limited right to host, transmit, process, and display Customer Content only as necessary to provide, secure, maintain, and support the Services.
You confirm that you have all rights, notices, permissions, and lawful grounds required to provide Customer Content to AADPlus and to process it through the Services.
Privacy and Data Protection
Our collection and handling of personal information is described in our Privacy Policy.
- The business customer will generally determine why and how its customer information is processed;
- AADPlus will generally process that information on the business customer’s instructions to provide the contracted Services; and
- AADPlus may independently process business contact, billing, security, and support information for legitimate operational and legal purposes.
Each party must comply with the data-protection laws applicable to its activities. AADPlus does not sell WhatsApp customer message data or use it for unrelated advertising.
Data-Deletion Requests
Users and customers may request deletion of eligible information by following the instructions published on our Data Deletion page.
Deletion may be subject to identity verification, contractual obligations, technical limitations, and legally required record-retention periods.
Deleting data or revoking Meta permissions may cause some or all of the Services to stop functioning.
Third-Party Platforms
Our Services may depend on third-party products including Meta, WhatsApp, Odoo, cloud-hosting providers, payment providers, and telecommunications services.
AADPlus does not control these third parties and is not responsible for:
- Their downtime, outages, or service interruptions;
- Their approval or rejection decisions;
- Changes to their APIs, prices, terms, or policies;
- Restrictions imposed on an account or phone number; or
- Data loss or service failure caused solely by a third-party platform.
We may modify an integration when necessary to respond to third-party technical or policy changes.
Fees and Payment
You must pay all AADPlus fees specified in the applicable quotation, invoice, subscription, or service agreement.
- Taxes, government fees, Meta charges, WhatsApp messaging charges, and third-party subscription costs are not included unless expressly stated;
- Fees already earned or incurred are non-refundable;
- Overdue amounts may result in suspension of Services; and
- You remain responsible for third-party charges incurred through your accounts.
Intellectual Property
AADPlus and its licensors retain all rights in AADPlus software, modules, source code, documentation, designs, trademarks, processes, and other intellectual property, except for Customer Content and deliverables expressly transferred under a written agreement.
Subject to payment and the applicable agreement, AADPlus grants you a limited, non-exclusive, and non-transferable right to use the Services for your internal business purposes.
You must not copy, resell, reverse engineer, sublicense, or distribute AADPlus software except where expressly authorized by AADPlus or permitted by applicable law.
Confidentiality
Each party must protect the other party’s confidential information using reasonable care and may use it only for performing or receiving the Services.
This obligation does not apply to information that is public through no breach, lawfully received from another source, or independently developed without using confidential information.
A party may disclose confidential information where required by law, provided it gives notice where legally permitted.
Availability and Support
AADPlus will use commercially reasonable efforts to provide reliable Services. However, uninterrupted or error-free operation is not guaranteed.
Temporary interruption may occur because of maintenance, security measures, internet failures, third-party outages, platform changes, or circumstances beyond our reasonable control.
Support levels and response times, if any, are governed by your applicable support agreement.
Suspension and Termination
AADPlus may suspend or terminate access to the Services because of:
- Non-payment;
- A violation of these Terms;
- Suspected fraud, spam, unlawful activity, or security risk;
- A Meta or WhatsApp restriction;
- Misuse that may harm another person or platform; or
- A legal or regulatory requirement.
You may stop using the Services at any time, subject to your contract, notice period, and outstanding payment obligations.
Upon termination, your access may end and data will be retained or deleted in accordance with our Privacy Policy, applicable agreement, and legal obligations.
Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.
AADPlus does not guarantee:
- Uninterrupted or error-free operation;
- Meta app, business, display-name, template, or phone-number approval;
- A particular messaging limit, delivery rate, or quality rating;
- Continued availability of any third-party API or feature; or
- Any specific commercial, financial, or operational result.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
Limitation of Liability
To the maximum extent permitted by applicable law, AADPlus will not be liable for indirect, incidental, special, consequential, or punitive loss, including lost profits, lost business, lost data, or loss of reputation.
AADPlus’s total liability arising from a particular Service will not exceed the fees paid to AADPlus for that Service during the six months immediately preceding the event giving rise to the claim.
These limitations do not apply where liability cannot legally be limited or excluded.
Indemnification
You agree to indemnify AADPlus against third-party claims, penalties, losses, and reasonable costs arising from:
- Your Customer Content;
- Messages sent through your account;
- Failure to obtain valid customer consent;
- Your violation of applicable law or Meta and WhatsApp policies; or
- Your misuse of the Services.
This obligation applies only to the extent that the claim was caused by your acts or omissions.
Governing Law and Disputes
These Terms are governed by the laws of the United Arab Emirates.
Unless a written agreement specifies otherwise, disputes will be subject to the competent courts of the Emirate in which the contracting AADPlus entity is registered.
The parties should first attempt to resolve any dispute in good faith through written communication.
Changes to These Terms
We may update these Terms to reflect changes in our Services, applicable law, or third-party platform requirements.
The updated version will be published on this page with a revised “Last updated” date. Where required by law, we will provide additional notice.
Continued use of the Services after an updated version becomes effective constitutes acceptance of the revised Terms.
